End-to-end support negotiating and structuring transactions
Chartis has extensive experience helping clients negotiate and structure transactions to achieve long-term strategic, financial, organizational, and growth goals. We facilitate a process to define terms and the contours of the partnership for buy-side, sell-side, and third-party “honest broker” transactions.
To get to a term sheet and letter of intent, we focus on the following areas of transaction structuring: partnership/transaction strategy, governance model, operations and management structure, economic model and funds flow, physician enterprise design, and IT/digital infrastructure.
Managing all phases of the deal
Once a preferred partner is chosen and the transaction terms have been agreed to and memorialized through a LOI, we help to conduct financial and operational diligence, manage regulatory approvals, quantify quality, service, and cost improvement opportunities, prepare stakeholder communications, and assess cultural and change management readiness.
Chartis provides overall process management support, including management of other third-party advisors, across all phases of transaction structuring: from letter of intent (LOI) preparation and regulatory review through definitive agreement (DA) development and the closing of the transaction. We work as sell- and buy-side advisors to individual clients. We also work jointly for two or more parties in instances when clients prefer to have an “honest broker” representing both of their interests.
